Founded in 1993, Bayview Asset Managementis an investment management firm focused on investments in mortgage and consumer credit, including whole loans, asset-backed securities, mortgage servicing rights, and other credit-related assets.

POSITION SUMMARY:

The VP Compliance Counsel will provide comprehensive regulatory, operational, and compliance oversight for Silver Hill Capital, a wholly owned subsidiary of Bayview. This role will support the organizations commercial mortgage origination and servicing ensuring adherence to applicable laws, regulatory requirements and internal policies. Silver Hill Capital is a key business within Bayview, encompassing commercial loan servicing, non-agency/DSCR/niche loan origination, and small balance commercial loan origination functions.

This business-oriented role will play a key part in quality assurance, oversight activities, and third-party risk reviews. The Compliance Counsel is responsible for helping ensure the subsidiary adheres to applicable federal and state laws, supports licensing efforts, responds to audits and exams, and delivers practical compliance guidance for day-to-day operations. The role will work closely with the business to develop practical, risk-focused solutions that support growth while maintaining compliance. Experience in national commercial mortgage originations and servicing is required, with a strong preference for candidates familiar with the non-QM (Non-Qualified Mortgage) space. This will be a remote role, unless we find someone available in our headquartered location, Coral Gables, FL.

RESPONSIBILITIES:

  • Provide operational and regulatory compliance guidance to commercial mortgage origination and servicing teams.
  • Support the entitys compliance management system and corporate governance structure
  • Support, assist and manage state and federal licensing compliance requirements, including new applications, renewals, reporting and related regulatory filings.
  • Provide compliance and legal support specific to non-QM (Non-Qualified Mortgage), non-agency, DSCR, niche product loan originations, including reviewing product structures and operational practices.
  • Support quality control reviews, oversight functions, and third-party risk assessments.
  • Work proactively with business leaders to understand operational needs and develop compliant business solutions or recommendations.
  • Coordinate and respond to regulatory examinations, investor audits, and internal compliance reviews.
  • Develop and maintain internal compliance policies, procedures, compliance controls, and documentationParticipate and help develop risk assessments, compliance testing, and internal investigations.
  • Monitor applicable industry, federal and state laws and assist in implementation across operations.
  • Support legal and operational matters such as contract interpretation, change management, vendor management, and internal reviews.
  • Collaborate with internal stakeholders to integrate legal and compliance considerations into strategic and operational initiatives.
  • Other duties as needed or assigned.

Qualifications:

  • Juris Doctor (JD) and 8 10 years experience with legal and/or compliance in commercial mortgage or financial services.
  • Experience in national commercial mortgage origination and servicing is required, preferably with exposure to non-QM or non-agency/niche loan products.
  • Hands-on experience with licensing compliance, including application, renewal, and reporting processes at the state and/or federal level.
  • Strong understanding of regulatory requirements affecting commercial mortgage origination and servicing.
  • Experience supporting business operations with practical legal and compliance advice.

  • Juris Doctor
  • Active Bar Admission in the United States
  • Familiarity with Sales Force

LOCATION and COMPENSATION:

  • This role will likely be remote unless we find a qualified person in one of our office locations.
  • If local to one of the above office areas, this role may also be a hybrid work (Mon/Fri wfh, Tues Thurs in the office), otherwise remote .
